Engagement terms for compliance-driven sourcing projects

These terms help us maintain transparency and deliver industrial equipment that meets your regulatory obligations.

1. Scope of services

  • Vortexen Sourcing provides supplier scouting, compliance validation, production oversight, quality inspections, and logistics coordination. The precise scope for each project is defined in the statement of work or purchase order.
  • Any additional services or changes requested after the agreement is signed may require a revised quote and timeline.

2. Client responsibilities

  • Clients commit to supplying accurate technical specifications, compliance requirements, and target delivery dates before sourcing begins.
  • Import licenses, destination-country certifications, and final-mile customs submissions remain the responsibility of the client unless otherwise agreed in writing.

3. Pricing & payment

  • Quotes are valid for 30 days and may change due to material fluctuations or supplier capacity shifts.
  • Unless specified differently, 60% of the order value is due at production start, with the balance payable prior to shipment release.
  • All invoices are issued in USD and settled via bank transfer to the accounts provided in the commercial invoice.

4. Quality assurance

  • Factory audits, pre-production sampling, in-line inspections, and pre-shipment checks are coordinated with certified third-party partners.
  • Inspection reports and lab results are delivered to the client for approval. Production adjustments caused by specification changes may affect delivery schedules.

5. Limitation of liability

  • Vortexen Sourcing’s liability for any claim is limited to the fees paid for the associated project deliverables.
  • We are not liable for delays or damages caused by force majeure events, including natural disasters, regulatory shutdowns, or transport disruptions outside our control.

6. Confidentiality

  • Both parties agree to treat technical documentation, pricing, and supplier information as confidential.
  • Vortexen may share client information with vetted suppliers and partners solely for fulfilling the services outlined in the agreement.

7. Governing law

  • These terms are governed by the laws of the United Arab Emirates. Any disputes shall be resolved through the Dubai International Arbitration Centre unless mutually agreed otherwise.
